In a recent ruling by the Michigan Court of Appeals, 16 Holdings LLC emerged victorious in a breach-of-contract lawsuit against KISA Enterprises MI, Inc. The court awarded 16 Holdings LLC $6,747,200 after determining that KISA Enterprises failed to meet the terms of a lease agreement for a property in Morenci, Michigan. The case centered around a lease signed by Dr. Mark Silver, CEO of KISA Enterprises, which was intended to facilitate business expansion through partnerships with larger cannabis cultivation companies. However, negotiations stalled when Dr. Silver fell ill and missed an extended cancellation deadline. The court found that the lease agreement was valid and enforceable despite KISA’s claims of it being merely a “placeholder.” Additionally, the court dismissed defenses of unconscionability and equitable estoppel due to procedural missteps by KISA. While affirming most aspects of the trial court’s decision, the appellate court ordered a remand for recalculating damages to present cash value.
